These Terms & Conditions ("Terms") govern your access to and use of Construction Impact Viewer (the "Service"), operated by Impact Vis LLC ("we," "us," "our"). By creating a workspace, accepting an invite to one, or otherwise using the Service, you agree to these Terms. If you're using the Service on behalf of an organization, you're agreeing on that organization's behalf, and "you" refers to that organization.

1. The Service

Construction Impact Viewer is a multi-tenant, subscription-based platform for mapping, tracking, and communicating construction impacts across floors and zones of a facility. Each organization's workspace and data are logically isolated from every other organization's.

2. Geographic availability

The Service is not currently offered to organizations based in the European Union, the European Economic Area, or the United Kingdom, or for the purpose of processing the personal data of individuals located there. At signup, you confirm this doesn't apply to your organization. If this changes for you after signup, contact us at diegojrosado@gmail.com. [This restriction is temporary, pending compliance work tracked internally — remove this section once that work is complete and the restriction is lifted.]

3. Accounts

• Your organization's administrator(s) are responsible for managing user accounts within your workspace, including who is invited, what role they hold, and removing access when appropriate.
• You're responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
• You must provide accurate information when creating an account and keep it up to date.
• Notify us promptly at diegojrosado@gmail.com if you believe your account has been compromised.

4. Acceptable use

You agree not to:

• Use the Service for any unlawful purpose, or in violation of any applicable regulation
• Attempt to access another organization's workspace or data without authorization
• Attempt to probe, scan, disrupt, or circumvent the security or rate limits of the Service
• Upload malicious files, or any content you don't have the right to upload
• Reverse-engineer or resell the Service without our written permission

We may suspend or terminate accounts that violate this section.

5. Subscriptions & billing

• New workspaces begin with a 14-day free trial. No payment is collected until the trial ends, unless stated otherwise at signup.
• Subscriptions are billed on a recurring basis through our payment processor, Stripe, and renew automatically until canceled.
• You can cancel at any time; cancellation takes effect at the end of the current billing period unless otherwise required by law.
• Fees are generally non-refundable except where required by law or as we expressly agree in writing. [Placeholder — finalize your actual refund policy before go-live.]
• We may change our pricing on a going-forward basis with reasonable advance notice to active subscribers.

6. Your data and content

• You (or your organization) retain ownership of the project, impact, and other content you submit to the Service ("Customer Data").
• You grant us a limited license to host, store, process, and display Customer Data solely as necessary to provide the Service to you.
• You're responsible for ensuring you have the necessary rights to any content (including uploaded PDF attachments) you submit.
• You decide how long Customer Data is kept and when it is deleted. We don't delete it on our own initiative, and we follow your organization's written instructions, including records-retention and legal-hold requirements that apply to you. 7. Service availability

We aim to keep the Service available and reliable, but we don't guarantee uninterrupted or error-free operation. We may perform maintenance, and we'll try to minimize disruption when we do.

8. Termination

• You may stop using the Service and cancel your subscription at any time.
• We may suspend or terminate your access if you violate these Terms, fail to pay applicable fees, or if required to comply with the law.
• Upon termination, your right to use the Service ends; we'll handle any retained Customer Data as described in our Privacy Policy.

9. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including fitness for a particular purpose or non-infringement, to the fullest extent permitted by law. The Service is a tool to help track and communicate construction impacts — it does not substitute for your own judgment, site inspections, or compliance obligations regarding construction safety, permitting, or building codes.

10. Limitation of liability

To the fullest extent permitted by law, Impact Vis LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, revenue, or profits, arising from your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the 12 months before the claim arose.

11. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your misuse of the Service or violation of these Terms.

12. Governing law

These Terms are governed by the laws of the State of Oregon, without regard to its conflict-of-laws principles. Any dispute arising from these Terms or the Service will be subject to the exclusive jurisdiction of the state and federal courts located in Oregon.

13. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we'll update the "Last updated" date above and, where appropriate, notify active account admins by email. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
